1Acceptance of these terms
By creating an account on Civilld, you confirm that you are at least 18 years old, that you have the legal capacity to enter into these terms, and that you agree to be bound by them. If you do not agree, you should not create an account or use the platform.
2What Civilld is, and what it is not
Civilld is a civilian-led membership platform that coordinates diaspora capital, verified professional expertise, and project governance to fund and oversee infrastructure projects in Somalia. Civilld is operated by a private corporate entity and is not a government body, a public authority, a registered charity in the traditional sense, a bank, or a licensed financial institution, except to the extent the Civilld entity holds a relevant licence, which will be disclosed where applicable.
Nothing on this platform should be interpreted as a guarantee of government endorsement, legal immunity, or official status in Somalia or any other jurisdiction.
3Eligibility and account registration
You must provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account. We reserve the right to refuse registration or terminate accounts that violate these terms or that we reasonably believe pose a risk to the platform or its members.
4Membership subscription
Membership costs $5 (or the applicable currency shown at checkout) per month, billed on a recurring basis via Stripe. Membership grants access to the Directory, Feed, Notice Board, Active Projects, Documents, Public Ledger, Governance, Idea Vault, Procurement, and Contribution Hub features, as they exist on the platform from time to time. We may modify, add, or remove specific features at our discretion, provided the core purpose of membership is not materially diminished without notice. You may cancel your membership at any time through your account settings or by contacting us; cancellation takes effect at the end of the current billing period, and no partial refunds are issued for unused portions of a billing period except where required by law.
5Two distinct funding mechanisms: please read carefully
Civilld operates two structurally and legally separate ways for members to contribute financially, and it is essential you understand the difference.
5.1 Civic contributions (Waqf fund)
Contributions made to the Waqf fund are charitable contributions intended to fund civic infrastructure, including but not limited to roads, water systems, and waste management projects. These contributions are not investments. No financial return, dividend, profit share, or equity interest is promised, implied, or available in connection with a Waqf contribution. Waqf contributions are tracked publicly on the ledger for transparency but do not confer any ownership or financial claim over the assets they help create.
5.2 Commercial investment (Phase II projects)
Where Civilld opens a specific named investment opportunity in a Phase II commercial asset (such as a cold chain facility or solar mini-grid), separate terms, risk disclosures, minimum investment amounts, and applicable securities documentation will be provided at the time, specific to that opportunity and the jurisdiction in which you reside. Investment in such opportunities carries financial risk, including the potential loss of some or all of the amount invested. Projected returns are estimates only and are not guaranteed. Past performance of any completed project is not indicative of future investment results. You should seek independent financial and legal advice before making any investment decision through Civilld.
Civilld will never represent a Waqf contribution as an investment product, nor represent investment in a Phase II asset as a charitable donation.
6Professional directory, verification, and credentials
Information and documents you submit for professional verification are used solely to assess your eligibility for directory verification, job applications, and procurement bidding. You confirm that all credentials and supporting documents you submit are genuine and accurately represent your qualifications and experience. Submitting false, forged, or materially misleading information or documents is a serious breach of these terms and will result in immediate account termination and may be reported to relevant authorities where appropriate.
Verification status displayed on your profile reflects that Civilld has reviewed the documents you submitted; it is not an independent professional licensing or accreditation and does not substitute for any professional body's own certification requirements.
7Procurement, tenders, and job applications
Tender bids submitted through the Procurement system are reviewed by administrators on an anonymised basis with respect to bidder identity, evaluated on the merits of the proposal submitted. Upon award of a tender, the identity of the winning bidder becomes visible as part of the public project record, for accountability purposes. Job applications for individual professional roles are reviewed using your full verified profile and are not anonymised. Submission of a bid or application does not guarantee selection, award, or any form of compensation. Compensation for awarded contracts or accepted job roles is determined on a project-by-project basis and disclosed prior to commencement of work.
8Governance
Verified members may vote on governance proposals and submit ideas through the Idea Vault. Governance votes are advisory and informative to Civilld's decision-making process. Civilld's administrators retain ultimate operational and fiduciary authority over fund deployment, project execution, contractor selection, and platform governance, exercised in what we believe to be the best interests of the platform's mission and its members, unless and until a more formal binding governance structure is established and disclosed to members.
9Acceptable use
You agree not to: provide false or misleading information at any stage of registration, verification, or platform use; attempt to circumvent the anonymised bidding or governance systems; use the platform to harass, defame, or discriminate against other members, including on the basis of clan, tribe, or lineage, which is expressly prohibited under our No Tribal Policy; upload malicious code or attempt to compromise the security of the platform; use automated systems to scrape or extract data from the platform without authorisation; or use the platform for any unlawful purpose. Breach of this section may result in suspension or termination of your account at our discretion.
10Intellectual property
The Civilld name, logo, platform design, and underlying software are the intellectual property of Civilld and may not be used, copied, or reproduced without written permission. Content you submit to the platform, including professional profile information, ideas, and comments, remains your property, but by submitting it you grant Civilld a worldwide, royalty-free licence to display, store, and use that content for the operation of the platform.
11Disclaimers
The platform is provided on an "as is" and "as available" basis. We do not warrant that the platform will be uninterrupted, error-free, or completely secure. We do not guarantee that any specific infrastructure project will be completed on a particular timeline, to a particular budget, or at all. Infrastructure development in Somalia involves inherent operational, political, security, and logistical risks beyond our control, and project outcomes may be affected by factors including but not limited to government action, security incidents, currency fluctuation, and force majeure events.
12Limitation of liability
To the maximum extent permitted by applicable law, Civilld, its directors, employees, and affiliated entities shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of profits, loss of contributed or invested funds beyond the amount contributed or invested, or loss of data, even where we have been advised of the possibility of such damages. Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or wilful misconduct.
13Indemnification
You agree to indemnify and hold Civilld harmless from any claims, damages, losses, or expenses, including reasonable legal fees, arising from your breach of these terms, your violation of any law, or your infringement of any third party's rights.
14Suspension and termination
We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these terms, engaged in fraudulent or harmful conduct, or where required to comply with legal obligations. You may close your account at any time by contacting us; outstanding contributions or investments already deployed into projects are not retroactively reversible upon account closure.
15Governing law and disputes
These terms are governed by the laws of England and Wales. Any disputes arising from these terms or your use of the platform will be subject to the exclusive jurisdiction of the English courts.
16Changes to these terms
We may amend these terms from time to time. Where changes are material, we will provide notice via the platform or email prior to the changes taking effect. Continued use of the platform after such changes constitutes your acceptance of the revised terms.
17Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
